Manufacturing and Distributing

  1. Representation of a manufacturer who experienced a business email compromise ("BEC"). Cybercriminal monitored and then intervened in a transaction between manufacturer and manufacturer's customer, and instructed customer to change the wire-transfer instructions to a different bank than what manufacturer originally identified. Customer proceeded to wire-transfer funds in excess of $110,000 to the cybercriminal's bank account. Customer then claimed through its counsel that manufacturer was at fault for its loss. Result achieved in this instance: manufacturer did not have to reimburse customer for customer's loss.
  2. Representation of manufacturer who experienced a ransomware attack on one of its many servers, coordinated engagement of forensic technology firm, assisted as an interface between client and the forensic technology firm to help them communicate effectively, reviewing of forensic technology firm's report on its forensic investigation of client's ransomeware attack and discussing same with clients including advising on remediation and cyber-risk preparedness.
  3. Representation of manufacturer that experienced cybersecurity events including counselling on engagement of digital forensic expert; strategies for addressing response to the cybersecurity events; and cyber-insurance claims submission.
  4. Representation of manufacturer who sold some of its products directly to its customers via its website, and which manufacturer's website host experienced a data breach that compromised some of the manufacturer’s customer’s data (e.g., name, address, e-mail, credit card information) from customers in several different states.  Counselled client through the forensic investigation and notification compliance process (including notification to customers and offices of the Attorney General in several states) concerning the breach. 
  5. Representation of manufacturer who has been in business more than 55 years, had registered in the USPTO its trademark rights, but failed to renew the registrations and allowed the registrations to lapse nearly thirty years earlier. In the interim, during the lapse in the USPTO registration, other businesses had registered similar marks in the USPTO. Result: successful in obtaining a new USPTO registration for their trademarks for the client's goods.
  6. Representation of clients in addressing legal issues involving the Internet including web site development agreements, web site hosting agreements, framing and linking legal concerns, content acquisition and protection, applications service provider agreement.
  7. Representation of a leading partner with pharmaceutical and biotechnology companies in the $250,000 plus acquisition of an enterprise software package to handle numerous business processes including the company’s accounting and research functions.
  8. Representation of large food distributor in acquisition of $500,000 plus computer system acquisition.

Representation of large privately held manufacturer in review and audit of their outside intellectual property law firms' billings for patent related legal services and drafting of a standard engagement letter for the manufacturer's general counsel to use for the manufacturer in engaging outside legal counsel for their intellectual property patent related legal services.

Representation of large clothing manufacturer with over 400 retail stores in contract negotiations/drafting to obtain business critical enterprise system to manage inventory control, point of sales data, and other functionality; plus contract negotiations/drafting to obtain satellite communications link to connect all retail stores with headquarters.
  2. Represented respondent (business investor in start-up clothing manufacturer and distributor) in arbitration against a demand for over $23 million by claimants (represented by a top 100 law firm) against respondent concerning a business dispute alleging, among other things, breach of contract, breach of covenant of good faith and fair dealing, tortious interference with contract. Result: obtained dismissal with prejudice of the demand.
  3. Representation of retailer franchisor in response to a credit card data breach at several of its retail locations in several states, including coordinating the forensic investigations at the various locations, counselling client on its obligations concerning the merchant agreement with its credit card processor, and notification compliance obligations.
  4. Representation of multimedia digital content provider/developer for retailers in contract negotiations with large international retailer for placement of video content and related retailer’s advertisements into the retailer’s stores; and contract negotiations with third party video equipment and distribution platform provider for delivery of client’s content into the retailer’s stores.
  5. Representation of retail clients in addressing legal issues involving the Internet including web site development agreements, web site hosting agreements, framing and linking legal concerns, content acquisition and protection, applications service provider agreement.
